Branch of a Foreign Organization

Since November 2024, foreign organizations have been able to open branches in Belarus. This is an extremely important change, as it fundamentally alters the system of presence for foreign commercial organizations in Belarus.
A branch carries out all or part of the organization’s functions in Belarus, including entrepreneurial activities: accepting payments, selling goods, performing works, rendering services, etc.
A branch is also required for certain procedures in Belarus. For example, it is required for certification in the construction industry.

Features of a branch:

  • no restrictions on types of activities (except for certain licenses)
  • is a non-resident for currency regulation purposes
  • operates on the basis of the Branch Regulations
  • the branch manager acts under a power of attorney
  • may employ foreign citizens
  • after opening, registration with government authorities is required

How to open a branch in Belarus:

  1. prepare an extract from the trade register
  2. issue a power of attorney for the branch manager
  3. conclude a lease agreement
  4. approve the Branch Regulations
  5. submit documents to the registering authority
  6. open a bank account
  7. register the branch with government authorities
  8. obtain a digital signature (DSC) for the branch manager

How long does it take to open a branch?

Documents are reviewed by the registering authority within 30 working days. During this time, government bodies examine information about the organization.
A significant amount of time may also be spent on preparing the package of documents: issuing the power of attorney, translating and legalizing documents, etc.
